This section contains translations of selected legal documents, decrees and regulations pertaining to governmental and non-governmental organizations, the economy, civil society and the media, religious and secular education, and the clerical establishment.

Most of the documents are laws passed by the Iranian parliament (Majles) which were then reviewed and/or amended by the Guardian Council and sometimes also the Expediency Council (1988-). Others are government directives or regulations. Each legal document contains information regarding what type of regulation is being translated and which agency has issued it.&nbsp;The Persian original is &nbsp;also posted at the bottom of each translation.

In addition to laws and regulations, this section also contains lists of the decrees, fatwas, and statements issued by the highest Iranian political authority, the Supreme Leader (Rahbar). This information is provided both for the first Supreme Leader, Khomeini (1979-1989), as well as his successor, Khamenei (1989-).

به گزارش&nbsp;<a href="https://www.mehrnews.com/">خبرنگار مهر</a>، حسن بابایی جامعه شناس به اهمیت چگونگی انتقاد و مطالبه&nbsp;گری&nbsp;و لزوم توجه به موازین قانونی اشاره کرد و طی یادداشتی که در اختیار&nbsp;<a href="https://www.mehrnews.com/">خبرگزاری مهر</a>&nbsp;قرار داده است نوشت:

انتقاد و مطالبه&nbsp;گری&nbsp;امری طبیعی است و یکی از راهکارهای مهم برای اصلاح حکمرانی، تحقق این امر است. از این رو تقویت این جریان در بین آحاد مردم موجبات تنظیم و تنسیق بهتر امورات می&zwnj;شود اما اینکه مطالبه&nbsp;گری&nbsp;چگونه از آسیب&zwnj;ها حفظ شود و در ورطه سیاه تخریب و اتهام زنی و دروغ پراکنی قرار نگیرد بسیار حائز اهمیت است.

ایام ماه محرم فرصت مناسبی است برای شکل&zwnj;گیری ارتباطات مسئولین، مردم و ارباب مراجعه و به نوعی پیاده سازی بهینه مطالبه&nbsp;گری&nbsp;اجتماعی بالاخص در میان مردمی که خود را مقید به عدالت خواهی در مکتب امام حسین (ع)&nbsp;می&zwnj;دانند و چه بهتر که این مدل عدالت خواهی برگرفته از شیوه امام معصوم باشد.

مطالبه&nbsp;گری&nbsp;اجتماعی بر پایه انتقادهای صحیح همراه با ارائه راهکار یکی از مهمترین مشخصه&zwnj;های مدیریتی مکتب آقا&nbsp;ابا&nbsp;عبدالله الحسین (ع)&nbsp;و مستتر در جز جز اتفاقات و صف بندی&zwnj;های قیام عاشوراست. الگوی مطالبه&nbsp;گری&nbsp;از دیدگاه عاشوراییان یعنی تلاش برای نشان دادن نقایص&nbsp;حکماء&nbsp;همراه با ترسیم راهکارهای برخواسته از شرع و اخلاق اسلامی.

الگوی امام حسین (ع)&nbsp;برای&nbsp;مطالبه&zwnj;گری&nbsp;استفاده از استدلال&zwnj;های قوی و مناسب بود که حکمرانان را ملزم به پاسخگویی می&zwnj;کرد و اگر پاسخی دریافت نمی&zwnj;شد این استدلال و عدالت خواهی حکایت از محق بودن مطالبه&zwnj;گران داشت.

امروز تاریخ صرف نظر از هرگونه گرایش و جناح بندی شاهد طرح برخی موضوعات و مطالبات است لیکن آنچه عده&zwnj;ای با تحصن و تجمع در&nbsp;مطالبه&zwnj;گری&nbsp;برای ارزش&zwnj;های اسلامی مطرح می&zwnj;کنند نیازمند&nbsp;تدقیق&nbsp;و تأمل است نخست آنکه&nbsp;مطالبه&zwnj;گری&nbsp;باید بر مدار انصاف و اخلاق و پرهیز از جریان سازی برخی گروه&zwnj;ها علیه دستگاه یا سازمان یا قوه خاصی باشد (که این مستلزم آن است مطالبه گران با آشنایی کامل از چارچوب&zwnj;های قانونی و حدود و&nbsp;ثغور&nbsp;و اختیارات دستگاه&zwnj;ها اقدام نمایند).

ثانیاً؛ در مطالبات اجتماعی توجه به موازین فقهی و شرعی مانع از&nbsp;مطالبه&zwnj;گری&nbsp;اولیه (امر به معروف و نهی از منکر) اشخاص نیست نقش دستگاه&zwnj;های دولتی و اجرایی در نهادینه کردن ارزش&zwnj;های اجتماعی در این مقوله نقشی ثانویه است.

ثالثاً؛ نقش رسانه&zwnj;ها و شبکه&zwnj;های اجتماعی در تبیین شرایط&nbsp;مطالبه&zwnj;گری&nbsp;بسیار مهم است (متأسفانه بعضاً به دلیل عدم آگاه سازی و اطلاع دقیق از شرایط&nbsp;مطالبه&zwnj;گری&nbsp;شاهد تخریب زحمات مدیران و دستگاه&zwnj;ها هستیم) و قطعاً این نوع از&nbsp;مطالبه&zwnj;گری&nbsp;مورد تأیید آموزه&zwnj;های دینی نبوده و در تعارض با اخلاقیات و احکام دینی است.

رابعاً؛ انتظار برخی مطالبه&zwnj;گران بدون توجه به محدودیت&zwnj;های قانونی و شرح وظایف دستگاه&zwnj;ها در برخورد با آسیب&zwnj;های اجتماعی عمدتاً مبتنی بر علم ناچیز و عدم آگاهی از موازین قانونی است و این خود موجب انحراف و تشتت در جامعه می&zwnj;شود.

حال باید گفت اگر ما به عنوان یک انقلابی مسلمان و پیرو مکتب امام حسین (ع)&nbsp;دنبال عدالت&zwnj;جویی هستیم باید بدانیم که عدالت&zwnj;جویی بدون عقلانیت نه تنها به نتیجه نمی&zwnj;رسد بلکه فرصتی را برای دشمن فراهم می&zwnj;کند که ارکان نظام و کلیت آن را هدف&zwnj;گیری کند و اینان به تعبیر&nbsp;<a href="https://www.mehrnews.com/tag/%D8%B1%D9%87%D8%A8%D8%B1%DB%8C">مقام معظم رهبری</a>&nbsp;(دام&nbsp;ظله&nbsp;العالی) کسانی نیستند جز مدعیان پوچ&nbsp;اندیش&nbsp;لذا با الگوبرداری از مقتدایمان با بصیرت و ژرف اندیشی&nbsp;مطالبه&zwnj;گری&nbsp;کنیم تا پرچم عدالت طلبی در تلاطم&zwnj;های اجتماعی همواره برافراشته باشد و در این مسیر دچار آفت و انحراف نشویم.

عدالت‌جویی بدون عقلانیت نتیجه ندارد

تولید و عرضۀ خودروهای خودران از رؤیا به واقعیت پیوسته و استفاده از این نوع خودروها در بسیاری از کشورها رو به گسترش است. در پیشرفته&zwnj;ترین نوع این خودروها، سامانۀ کنترل و هدایت خودرو به&zwnj;طور کامل جای عامل انسانی را گرفته است. از&zwnj;این&zwnj;رو، قطع نظر از مباحث مرسوم موضوع حقوق مسئولیت مدنی، آنچه در بدو امر جلب توجه می&zwnj;کند سازوکار جبران خسارت ناشی از حوادث این&zwnj;گونه خودروهاست. بر این اساس پرسشی که در پی پاسخ آن هستیم این است که اگر مسئولیت بیمه&zwnj;گر مبتنی بر تعاون اجتماعی باشد؛ آیا نظام جبران خسارت ناشی از حوادث خودرویی که در حال حاضر در نظام حقوقی ایران حکم&zwnj;فرماست می&zwnj;تواند پاسخ&zwnj;گوی جبران خسارت حوادث ناشی از این&zwnj;گونه خودروها هم باشد؟ بر اساس نتایج حاصل از تحقیق حاضر که با استفاده از روش تحلیلی ـ توصیفی انجام شده است با تبیین مبنای مسئولیت مقرر در &laquo;قانون بیمه اجباری خسارت وارد شده به شخص ثالث مصوب 20/2/1395&raquo; بر مبنای &laquo;تعاون اجتماعی&raquo;، پاسخ مثبت است.

Anticipatory breach theory means that in contracts with protensive obligations, whenever, before the time of fulfillment of the obligation, in an acceptable and reliable manner, it is discovered that the obligor in the future does not want or can not fulfill its obligations, the obligee will have the right to suspend his mutual obligations and terminate the contract under certain conditions.The origin of this theory is European law and so far it has not been explicitly entered in Iran law. In feasibility study of the entrance this theory into Iran law, some consider it contrary to the principle of the unilateral irrivocability of contracts. the principle of unilateral of contract is that each party to the contract may not terminate the contract unilaterally , except in cases where it has such legal authority. In this article, the author seeks to specify the concept of this theory and the application of the principle of unilateral irrivocability of contracts, to prove that the theory of anticipatory breach does not contradict the principle of unilateral irrivocability of contracts.&zwnj;

چکیده

نظریه نقض قابل پیش بینی به این مفهوم است که در قراردادهایی با تعهدات موجل هرگاه قبل از فرا رسیدن زمان اجرای تعهد ،به نحو قابل قبول و اطمینان بخشی،کاشف به عمل آید که متعهد در آتیه،نمی&zwnj;خواهد یا نمی&zwnj;تواند به تعهدات خود عمل نماید،متعهدله حق خواهد داشت،تعهدات متقابل خویش را معلق و تحت شرایطی به قرارداد خاتمه دهد. خاستگاه این نظریه حقوق اروپایی است و تا کنون به طور صریح وارد حقوق ایران نشده است. در امکان سنجی ورود این نظریه به حقوق ایران،عده ای آن را مخالف با اصل لزوم قراردادها می&zwnj;دانند. مفاد اصل لزوم قراردادها این است که هر یک از طرفین قرارداد نمی تواند به طور یکجانبه قرارداد را فسخ نماید مگر در مواردی که قانونا چنین اختیاری داشته باشد. نگارنده در این نوشتار در صدد آن است که با تبیین مفهوم این نظریه و کاربرد اصل لزوم قراردادها،عدم مخالفت نظریه نقض قابل پیش بینی با اصل لزوم قراردادها را به اثبات برساند.

By issuing an airway bill, air carriage of cargo with small quantities occurs; however, in fairly rare situations, due to the large volume of cargo, it dose in the form of charter contract. When airway bill is used, it is supposed that the one party is in a weak position; therefore, such carriage is monitored under the warsaw and montreal conventions. Unlike the charter, completely contractual. According to this disparity, arbitration is different. So in the first case, the substantive law, the applicable law (determination of the competent court), arbitration and other cases are determined by the convention. It is as if a limited form of autonomy is accepted in arbitration. In contrast, charter based on equal bargaining power, is free from the terms and restrictions. Therefore, the parties themselves determine the substantive law, the form of arbitration, the supporting court. Airlines can start arbitration in the charter contract as well. It is far clear that there are similarities between airway bill and charter. Among these similarities, the requirements of national laws such as article 139 regarding the arbitration of state property in iran is essential. The arbitrability of air cargo carriage of contracts for, whether charter or airway bill is the same. Based on the broad interpretation of the concept of cargo in the warsaw and montreal conventions, a wide territory, including dangerous goods and human corpses encompass. The present article examines these similarities and differences.

چکیده

حمل کالا با میزان محدود از طریق هواپیما با صدور راهنامه هوایی محقق می&zwnj;شود؛ هرچند در موارد نادر ممکن است، به&zwnj;علت حجم زیاد کالا، در قالب اجاره یک هواپیما (قرارداد چارتر) صورت بگیرد. در فرض نخست که مبتنی بر راهنامه است، باتوجه به موقعیت ضعیف طرف دوم قرارداد، چنین قرارداد حمل&zwnj;و&zwnj;نقلی تحت کنوانسیون ورشو و مونترال و حمایت&zwnj;های مبتنی بر آن ساماندهی می&zwnj;شود. برخلاف مورد دوم و قرارداد اجاره که نظام کاملا قراردادی حکم&zwnj;فرماست و قواعدی همچون کنوانسیون ورشو و مونترال جهت نظارت بر قرارداد وجود ندارد.طبق همین تفاوت، جریان داوری در هریک متفاوت است. چراکه در فرض اول، قانون ماهوی و شکلی حاکم، خواهان داوری و سایر موارد از سوی کنوانسیون تعیین شده است و گویی شکل محدودی از اراده در داوری پذیرفته شده است. در مقابل، داوری تحت چارتر براساس قدرت چانه&zwnj;زنی برابر طرفین و آزاد از شروط و محدودیت&zwnj;های فرض اول است. بنابراین طرفین قرارداد قانون ماهوی، آیین شکلی داوری و دادگاه پشتیبان را تعیین می&zwnj;نمایند. همچنین متصدی حمل&zwnj;ونقل هم می&zwnj;تواند خواهان داوری در قرارداد چارتر باشد. پرواضح است در این مسیر شباهت&zwnj;های وجود دارد. از جمله این تشابهات علاوه بر الزامات قوانین ملی همچون اصل 139 در رابطه با داوری اموال دولتی در ایران، می&zwnj;توان به داوری&zwnj;پذیری قرارداد حمل کالا چه در راهنامه و چه در چارتر اشاره کرد. باتوجه به تفسیر موسع از مفهوم کالا در کنوانسیون ورشو و مونترال، قلمرو گسترده&zwnj;ای از جمله کالای خطرناک و اجساد انسان تحت داوری راهنامه و چارتر قرار می&zwnj;گیرد. بر همین اساس قرارداد حمل هر کالایی داوری&zwnj;پذیر است.

انرژی نقش مهمی در تجارت و اقتصاد جهانی دارد و رعایت قواعد رقابت در بازارهای آن، امری اساسی و ضروری است. وجود رفتارها و موقعیتهای ضدرقابتی در بازارهای جهانی انرژی، به هر دلیل که بوجود آمده باشد، باید به رسمیت شناخته شود. آنچه حائز اهمیت است اتخاذ سیاستهای رقابتی متناسب، در راستای خنثی نمودن پدیده مزبور و ترویج رقابت است. تنوع فعالیت های حوزه انرژی و رفتارهای ضد رقابتی موجب شده، سیاستهای رقابتی گوناگونی در سطح ملی و بین المللی جهت مقابله مستقیم یا غیر مستقیم با رویه های ضد رقابتی، به منظور تسهیل رقابت و تحقق آن، از سوی کشورها و جامعه بین الملل تدوین گردد. البته حقوق رقابت بین الملل انرژی تنها به اقدامات حقوقی بسنده نکرده بلکه از سیاستهای حقوقی، رقابتی، اقتصادی و مدیریتی را همانطور که در شأن اقتصاد انرژی است، چه در عرصه داخلی و چه در سطح بین المللی، بهره مند می شود. در این مقاله مختصری از سیاستهای رقابتی به رشته تحریر در میآید. بر این اساس، سیاستهای رقابتی انرژی در سطح ملّی، فراملّی و بین المللی، مورد بررسی قرار میگیرد.

In recent years due to increasing the population day to day expanding urbanization and immethodically increasing of constructions green spaces specially farming lands and gardens are terribly getting destroyed and changed. because the increase of the land price and the low benefit of farming cause agriculture to be weakend and lead to the willingness of changing the land use.However the land has always been considered an important tool during the whole history and governments have been aware of its economical political and social importance and they have set rules and laws a way better use of them. Along with fighting against changing the Land use the policy that the legislator has chosen in the form of construction eradication is a suppressive one.But maintaining the use of farm Lands wont be possible just by relying on the criminal policy of repression and the witness to this subject are those aerial photographs and statistics which show the increasing trend of changing the farm Land and gardening use around the cities of our country.of course we don&rsquo;t mean to eliminate the criminal prevention in fighting against this crime but also by the social and the situational prevention we can prevent peoples tendency toward changing the Land use.In this study by descriptive-analytical method first we will dealing with criminology then will propose prevention solutions of the crime of changing the use of farm Lands.

In recent years due to increasing the population day to day expanding urbanization and immethodically increasing of constructions green spaces specially farming lands and gardens are terribly getting destroyed and changed. because the increase of the land price and the low benefit of farming cause agriculture to be weakend and lead to the willingness of changing the land use.However the land has always been considered an important tool during the whole history and governments have been aware of its economical political and social importance and they have set rules and laws a way better use of them.

چکیده

در سالیان اخیربدلیل افزایش روزافزون جمعیت و گسترش شهر نشینی و افزایش بی رویه ساخت و ساز, فضاهای سبز بویژه اراضی زراعی و باغی به شدت در معرض تخریب و تبدیل قرار گرفته اند. همچنین مالکین وصاحبان اراضی کشاورزی وباغی معمولاً با انگیزه کسب درآمد بیشتر به دنبال تغییر کاربری این اراضی هستند؛ زیرا افزایش قیمت زمین ها و سود کم کشاورزی موجب تضعیف کشاورزی و تمایل به تغییر کاربری آن می گردد؛ درحالیکه زمین همیشه به عنوان ابزار مهم و با ارزشی در طول تاریخ مطرح بوده و دولت ها به اهمیت آن از نظر اقتصادی،سیاسی و اجتماعی واقف بودند و برای استفاده هرچه بهتر از آن به وضع قوانین و مقررات پرداخته اند. در راستای مبارزه با تغییر کاربری غیرمجاز اراضی کشاورزی سیاستی که مقنن اتخاذ نموده در قالب قلع و قمع بنا سیاستی سرکوب گرایانه است ولی حفظ کاربری اراضی کشاورزی، تنها با سیاست جنایی سزاگرایانه امکان پذیر نمی باشد و گواه این مطلب عکس های هوایی و آمارهااست که نشان دهنده سیر صعودی تغییر کاربری اراضی اراضی زراعی وباغی در حواشی کلانشهرهای کشور می باشد. البته منظور حذف پیشگیری کیفری در مبارزه با این جرم نیست بلکه باید در کنار آن با پیشگیری وضعی و اجتماعی از گرایش افراد به تغییر کاربری اراضی زراعی جلوگیری کرد. بر این اساس دراین پژوهش با روش توصیفی _ تحلیلی و با نگاهی جرم شناسانه، ابتدا به علت شناسی و سپس به ارایه راهکارهای پیشگیری از جرم تغییر کاربری اراضی زراعی پرداخته ایم.

 You can determine an Iranian company&rsquo;s structure by looking at the corporate extension. In the Iranian Official Gazette, this is usually found in the announcement title, either before or after the company name. In the ILENC corporate registry, this will be listed in the &ldquo;Legal Entity Type&rdquo; (نوع شخصیت حقوقی) field.

 In Iran, both public and private joint stock companies (JSCs) must have a minimum of three shareholders.&nbsp;Public JSCs must have a minimum of five directors, including a chairman and a vice chairman. Private JSCs are only required to have a chairman and vice chairman.&nbsp;
 JSCs are required to disclose board members in the Iranian Official Gazette, but not shareholders. For public JSCs with publicly traded shares, databases maintained by the Tehran Stock Exchange and the Iranian Securities and Exchange Organization (e.g. CODAL) can provide detailed ownership reports. This data is not disclosed for private JSCs.
 Regardless, you can use board membership information from the Iranian Official Gazette and other sources to learn about a JSC&rsquo;s&nbsp;company&rsquo;s ownership structure. JSC board members must be elected from amongst the shareholders, so anyone listed as a board member must be a shareholder unless otherwise specified. However, you won&rsquo;t be able to determine their exact shareholding percentages, and there may be other undisclosed shareholders.&nbsp;

 Limited liability companies (LLCs) must have at least two partners and at least one director.
 Like JSCs, LLCs must disclose board members in the Iranian Official Gazette. However, unlike JSCs, LLC board members do not have to be elected from amongst the shareholders. Therefore, you can&rsquo;t assume that LLC board members are shareholders.
 LLCs are not required to disclose shareholders, but they sometimes voluntarily disclose shareholders and their shareholding percentages in gazette filings. This is very valuable information but not always available.&nbsp;&nbsp;

Beneficial Ownership and Company Structures

<div itemprop="description">Considering the fact that majority of investments in Iran starts with setting up a company, many foreign investors look for reliable information about its process and requirements. At the same time, its procedure and related rules have been mentioned in the different resources which require to be collected and explained. This article is written to meet all these needs and provide all necessary information regarding establishing a company in Iran.</div>

Governing Laws Company law of Iran is incorporated into the Iran&rsquo;s &ldquo;Commercial Act&rdquo; and into &ldquo;Amended legal Bill of a Part of Commercial Act of Iran&rdquo;. There are also other regulations regarding companies or foreign companies&rsquo; branches in Iran which are mostly related to procedure of registration and establishment. 2. Ownership of a Foreign Company It is possible for a company in Iran to be fully owned by foreign nationals. It is also possible to set up a branch in Iran with foreign shareholders and foreign Directors. 3. Structure of Companies in Iran There are various kinds of companies in Iran. they include: Private Joint Stock Company, Public Joint Stock Company, Limited Liability Company, General Partnership Company, Limited Partnership Company, Joint Stock Partnership Company, Proportional Liability Partnership Company and Co-Operative Company. However, only Limited Liability Company (LLC) and Private Joint Stock Company are popular among investors as these two companies have more comprehensive and straightforward rules. 4. Number of Shareholders Three shareholders needed to establish a Private Joint Stock Company in Iran, however, five shareholders required to establish a Public Joint Stock Company. On the other hand, It would be enough to introduce two shareholders for establishment of a Limited Liability Company (LLC) and other forms of companies. 5. Minimum Charter Capital required to Establish a Company The minimum share capital required to register a Private Joint Stock Company is 1 Million IRR (around 40 USD), and the minimum share capital for registration or Public Joint Stock Company is 5 Million IRR (around 150 USD). On the other hand, there is no specified amount of charter capital in the related rules and regulations for establishing a Limited Liability Company and other forms of companies in Iran, however, the &ldquo;Companies Registration Office&rdquo; usually asks for payment of a minor amount before such companies can be registered. 6. In-Kind Contribution In-kind contribution is allowed in both &ldquo;private joint-stock&rdquo; and &ldquo;limited liability&rdquo; companies. Theoretically, an in-kind contribution can consist any valuable things; however, real estate properties are more common. According to the Iran&rsquo;s &ldquo;Commercial Act&rdquo;, all in-kind contributions in &ldquo;private joint-stock&rdquo; companies have to be valued by an &ldquo;Official Expert&rdquo; and shareholders are unable to accept such contributions above the official expert&rsquo;s appraisal. On the other hand, in &ldquo;limited liability&rdquo; companies, all in-kind contributions are valued by the shareholders. 7. Board of Directors It is mandatory for Private and Public Joint Stock Companies to have a Board of Directors. It is, however, optional for a Limited Liability Company to have a board of directors, but it must have a managing director. In respect of joint stock companies, the directors must be appointed from amongst the shareholders. This is not a requirement for LLCs. Joint stock companies are required to have a chairman and a vice-chairman of the board of directors, and the board of directors must also appoint a managing director (CEO), although the managing director does not need to be a board member. The board of directors of a company may be either Iranian nationals or foreign nationals, and there are no restriction in this regard. 8. Restriction in Transferring Shares Transaction of shares in the &ldquo;private joint-stock&rdquo; companies does not have any limitation, unless the companies&rsquo; statute (articles of association) provides a limitation. On the other hand, transferring of each partner&rsquo;s share in &ldquo;limited liability&rdquo; companies is subject to consent of shareholders who possess three quarters of the company&rsquo;s charter capital and also they have majority in numbers. Moreover, transferring of a partner&rsquo;s share in a LLC is possible only by drafting an &ldquo;official deed&rdquo;. 9. Procedure for Sale of Shares of an Iranian Company Based on Iran&rsquo;s &ldquo;Commercial Act&rdquo;, &ldquo;private joint-stock&rdquo; companies can issue both named and anonymous shares. If the company&rsquo;s shares contain the name of a shareholder, the transaction has to be registered in the company&rsquo;s &ldquo;Share Registration Book&rdquo; and signed by the parties. In addition, a minute should be drafted between the two shareholders and sent to the &ldquo;Companies Registration Office&rdquo; after the &ldquo;share trading tax&rdquo; is paid. Only after this procedure is followed to its end, the title of a named share would be transferred to someone else. On the other hand, if the company&rsquo;s shares are anonymous; there is no need for paying tax and registration in the &ldquo;Companies Registration Office&rdquo;. Therefore, such shares are tradable by giving and taking and drafting a minute between the two parties. However, as stated earlier, transferring of each partner&rsquo;s share in &ldquo;limited liability&rdquo; companies is subject to consent of shareholders who possess three quarters of the company&rsquo;s charter capital and also they have majority in numbers (number of shareholders). Moreover, transferring of a partner&rsquo;s share is possible only by drafting an &ldquo;official deed&rdquo;. Therefore, a minute has to be drafted and signed by the mentioned majority and also the two shareholders must refer to a &ldquo;notary public office&rdquo; to register their transaction in the form of an official deed. 10. Registered Iranian Address Every legal entity established in Iran will need to have a registered address in Iran. 11. Auditors It is mandatory to have at least two auditors in Private and Public Joint Stock Companies, however, it is optional for LLCs to have an auditor. 12. Management Bodies of Iranian Companies There are two management bodies in the &ldquo;private join-stock&rdquo; companies: (i) Board of Directors: the minimum number of directors required for such a company is three. They are chosen among shareholders for a period not more than two years; they can unlimitedly be reelected though. According to the Iran&rsquo;s &ldquo;Commercial Act&rdquo;, the first election of Board of Directors is taking place by all shareholders; however, reelection of BOD is a responsibility of General Assembly. A legal entity can also be a member of BOD; if this is so, it can perform its duties by appointment of a representative. Furthermore, Directors must possess the number of shares specified by the company&rsquo;s statute. Such shares are non-tradable and will be held as a guarantee for their activities. Except for those subjects that, according to the &ldquo;Commercial Act&rdquo;, have to be dealt with by the General Assembly, Board of Directors has all the powers to run the company, provided that their decisions are within the scope of the company&rsquo;s field of activity. The Board of Directors must choose a natural person as the company&rsquo;s CEO. Scope of a CEO&rsquo;s powers, his/her salary and the period during which he/she holds this position will be determined by the BOD. The BOD can fire the CEO at any time. CEO will be the representative of the company and will be able to sign a document on behalf of the company. (ii) General Assembly: in the General Assembly of the company, participation of shareholders who possess half of the company&rsquo;s shares is necessary. If the quorum is not obtained, the shareholders will be invited for the second time and it will be officially held by any numbers of shareholders. Inviting the shareholders to establish the General Assembly is a duty of BOD and it takes place once a year. Subjects that should be considered by General Assembly includes, selection of BOD, analyzing profits and losses of the company, properties and debts of the company, analyzing the directors&rsquo; and inspectors&rsquo; reports, and any other things related to the company&rsquo;s financial year. In &ldquo;limited liability companies, however, all decisions are taken by those who possess half of the company&rsquo;s charter capital. If such majority is not reached, all the shareholders should be invited for the second time and decisions would be taken by those who are majority in number. The company&rsquo;s statute can set up another procedure for taking decisions. The director(s) in the &ldquo;limited liability&rdquo; companies is chosen by the above-mentioned majority. He/she has all powers to run the company. The director or the directors of such company is not required to be selected among the shareholders, moreover, he/she can be selected for unlimited period of time. 13. Procedure and Required Documents for Registration of a Company (or a branch office) From the day necessary documents for registration have been prepared, it often takes one month to register a company in Iran. The registration procedure starts by filling up an online application form and then taking the documents to the &ldquo;Companies Registration Office&rdquo;. Required documents for registration is different based on the nature of shareholders and their nationality. Therefore, (a) For an Iranian natural person the required documents are: a copy of National Card and a copy of Identity Certificate. If the Iranian partner will be a member of board of directors of the company, the &quot;Criminal Clearance Certificate&quot; is also required. (b) A foreign natural person has to provide a copy of his/her Passport (The page that contains identity information). (c) If the shareholder is a foreign company (legal entity), required documents are: (i) Registration permission (Must be certified by Iran&apos;s embassy). (ii) Company&apos;s statute (Articles of Association), (Must be certified by Iran&apos;s embassy). (iii) Nominating a representative and his/her Power of Attorney certificate. (iv) If the company&apos;s representative is a foreign person, a copy of his passport is necessary and if the representative is Iranian, his identity card and identity certificate is required. 14. Costs The following charges and fees will be incurred in connection with the formation of the Company: (a) Registration fee based on the capitalization of the company payable to the Companies Registration Office. (b) Charges for publication in the Official Gazette of the notice of registration payable to the Official Gazette at current rates. (c) Charges for publication in a general circulation newspaper at current rates. (d) Stamp taxes on share certificates (e) Professional Fee which is usually charged by lawyers</div>

 BUSINESS IN IRAN: PRIVATE JOINT STOCK COMPANY

For this purpose the authorized persons shall be provided with all the constituent documents including charter, extracts from the minutes of meetings, personal data of beneficial owners and other. Company formation in Iran is associated with the procedure of coding of all documents: barcode allows to track all the movements of the founder within the country if necessary.  In order to register company in Iran legally it is necessary to register it with tax authorities. After registering the Labor Department requires payment of 33% of social tax, 23% of which should be covered by the employer. Total income tax rate varies from 15 to 57%, and level of the company income affects the size of coefficient.
Taxation is applicable to citizens of the country and businessmen from abroad, but it is possible to completely avoid the payment of tax or reduce the size of contribution by registering physical address of the company within the territory of one of 8 free economic zones of the state.
Offshore zones (free economic zones) in Iran offer the exemption from taxation for a period of 15 years from the date of registration of the company in Iran; there are 4 of them, and the others provide significant benefits for VAT. قانون وکالت فصل اول ـ وکیل و شرایط وکالت&zwnj; ماده 1 ـ وکالت در عدلیه دارای درجات ذیل است&zwnj;: 1 ـ وکالت در محاکم صلح و بدایت و استیناف و تمیز 2 ـ وکالت در محاکم صلح و بدایت و استیناف&zwnj; 3 ـ وکالت در محاکم صلح و بدایت&zwnj; تبصره ـ وزارت عدلیه می&zwnj;تواند بر حسب ضرورت و احتیاج از داوطلبان شغل وکالت که معلوماتشان&zwnj;کافی برای درجات سه&zwnj;گانه نیست مطابق نظامنامه مخصوص امتحان نموده اجازه وکالت در محاکم صلح&zwnj;یا نزد مامورین صلح و حوزه&zwnj;های معین بدهد ـ اگر داوطلب مزبور در حین اجرای این قانون مشغول&zwnj;وکالت بوده و صلاحیت او برای درجات سه گانه فوق تصدیق نشده است از امتحان معاف خواهد بود این اشخاص کارگشا نامیده می&zwnj;شوند ماده 2 ـ اشخاصی که واجد معلومات کافی برای وکالت در عدلیه نباشند اگر بخواهند برای اقربای سببی&zwnj;یا نسبی خود تا درجه دوم از طبقه سوم وکالت بنماید ممکن است به آنها در سال سه نوبت جواز وکالت &zwnj;اتفاقی داده شود مواد 3 تا 5 نسخ شده است&zwnj; ماده 6 ـ اشخاصی که به موجب حکم محکمه انتظامی ممنوع&zwnj;الوکاله شده&zwnj;اند هرگاه موجب حکم صرفا فقد معلومات بوده می&zwnj;توانند از مقررات تبصره 2 ماده یک استفاده نمایند ـ هرگاه ممنوعیت آنها فقط ازجهات اخلاقی بوده پس از پنج سال از تاریخ صدور حکم می&zwnj;توانند اعاده حیثیت نمایند مشروط بر این&zwnj;که در مدت مزبور اعمال منافی اخلاقی از آنها مشاهده نشده باشد هرگاه ممنوعیت آنها از دو جهت بوده&zwnj;در صورت گذشتن پنج سال نیز می&zwnj;توانند از مورد تبصره 2 ماده یک استفاده نماید ماده 15 ـ پروانه وکالت باید همه ساله مطابق تعرفه ذیل تمبر شود: برای پروانه وکالت درجه اول 4000 ریال&zwnj; برای پروانه وکالت درجه دوم 2000 ریال&zwnj; برای پروانه وکالت درجه سوم 1500 ریال&zwnj; برای پروانه کارگشایی به تفاوت نقاط از 500 تا 5000 ریال&zwnj; برای پروانه وکالت اتفاقی هر دفعه 10 ریال&zwnj; فصل دوم ـ تشکیلات وکلاء ماده 22 ـ دفتر اوراق راجعه به وکالت باید مطابق نمونه&zwnj;ای که کانون مرکز تعیین می&zwnj;نماید تهیه شود ـ درآمد کانون هر محل به مصرف خود آن کانون خواهد رسید ماده 23 ـ وکلای عدلیه مکلفند همه ساله در سه دعوای حقوقی به عنوان معاضدت قبول وکالت نمایند و چنانچه موکل محکوم له واقع شود حق الوکاله قانونی از آنچه که وصول شود به او پرداخت خواهد شد ـ پنج یک آن متعلق به کانون است&zwnj; ماده 24 ـ کسانی که قدرت تادیه حق الوکاله ندارند می&zwnj;توانند از کانون تقاضای معاضدت نمایند مشروط&zwnj; به این که دعوی با اساس و راجع به شخص تقاضاکننده باشد طرز تقاضا و سایر شرایط لازمه برای معاضدت قضایی را وزارت عدلیه به موجب نظامنامه معین&zwnj;خواهد نمود فصل سوم ـ حقوق و وظایف&zwnj; ماده 28 ـ در صورتی که وکیل در دو یا چند دادگاه اعم از جنایی و غیر آن دعوت شود و جمع بین اوقات&zwnj;ممکن نباشد باید حضور در دیوان جنایی و دیوان کیفر را مقدم بدارد و به دادگاه یا دادگاههای دیگر لایحه بفرستد یا در صورت داشتن حق توکیل وکیل دیگری را اعزام بدارد در صورتی که وکیل در دو یا چند دادگاه غیر از دادگاه جنایی و دیوان کیفر دعوت شود و جمع بین اوقات&zwnj;ممکن نباشد در دادگاهی که حضور خود را لازم می&zwnj;داند حاضر می&zwnj;شود و به دادگاههای دیگر لایحه&zwnj; می&zwnj;فرستد یا در صورت داشتن حق توکیل وکیل دیگری را اعزام می&zwnj;دارد جلسه رسیدگی در هر حال از این جهت تجدید نخواهد شد مگر آنکه حضور وکیل در دادگاه ضروری&zwnj;باشد که در این&zwnj;صورت یا به دادگاه مذکور وکیل دیگری می&zwnj;فرستد و یا اگر حق توکیل نداشته باشد نسخه&zwnj;ثانی اخطاریه دادگاه جنایی با دیوان کیفر را ضمن لایحه&zwnj;ای برای اعتذار از حضور تقدیم دادگاه می&zwnj;کند و در صورت اخیر فقط برای یک نوبت تجدید خواهد شد تبصره 1 ـ وکیل باید دادگاه جنایی را بر دیوان کیفر مقدم بدارد و در صورتی که در دو یا چند دادگاه&zwnj;جنایی یا دیوان کیفر دعوت شده باشد حضور وکیل در هریک از دادگاههای مذکور بر حسب تقدم تاریخ&zwnj;ابلاغ از طرف دادگاه خواهد بود تبصره 2 ـ عزل یا استعفا یا تعیین وکیل جدید باید در موقعی به عمل آید که موجب تجدید جلسه&zwnj;نشود در صورت عدم رعایت این ترتیب استعفا و عزل و تعیین وکیل جدید برای این جلسه پذیرفته&zwnj;نمی&zwnj;شود و دادگاه به رسیدگی ادامه می&zwnj;دهد تبصره 3 ـ هرگاه جلسه دادگاه جنایی یا هر دادگاه جزایی دیگر که حضور وکیل متهم در آن ضرورت&zwnj;دارد به معاذیر قانونی وکیل تجدید شود، رئیس دادگاه مکلف است بلافاصله وکیل انتخابی برای متهم&zwnj;تعیین کند و وقت دادرسی را به وکیل مذکور ابلاغ کند هرگاه در جلسه بعد وکیل قبلی یا وکیل دیگری که متهم انتخاب و معرفی کرده است در دادگاه حضور یابدو از متهم دفاع نماید دادرسی با حضور او ادامه خواهد یافت و الا وکیل انتخابی دادگاه از متهم دفاع&zwnj;می&zwnj;کند و دادگاه حکم خواهد داد ماده 29 ـ از وکلایی که حق وکالت در توکیل دارند هیچ عذری برای عدم حضور در جلسه پذیرفته&zwnj;نمی&zwnj;شود هرگاه وکیلی در یک ساعت در دو محکمه دعوت شده باشد باید به یکی از دو محکمه که نسبت به&zwnj;دعوی مطروح در آنجا وکالت در توکیل دارد وکیل بفرستد و در دیگری خود حاضر شود ماده 30 ـ وکیل باید اسراری را که به وسیله وکالت از طرف موکل مطلع شده و همچنین اسرار مربوط به&zwnj;حیثیات و شرافت و اعتبارات موکل را حفظ نماید ماده 31 ـ وکلا باید وکالت انتخابی حقوقی و جزایی را که در حدود قوانین و نظامات به آنها ارجاع&zwnj;می&zwnj;شود قبول نمایند تبصره ـ مقصود از وکالت انتخابی وکالتی است که از طرف محکمه در موارد جزایی و از طرف کانون&zwnj;در امور حقوقی به آنها ارجاع می&zwnj;شود ماده 32 ـ وکلا باید با موکل خود قرارداد حق الوکاله تنظیم و مبادله نمایند و نسخه ثانی قرارداد را به&zwnj;ضمیمه وکالتنامه به دفتر محکمه تسلیم دارند قرارداد حق الوکاله و فهرست اسنادی که موکل به وکیل&zwnj;می&zwnj;سپارد و همچنین قبوض وجوهی که وکیل دریافت می&zwnj;دارد مطابق نمونه&zwnj;ای است که از طرف وزارت&zwnj;عدلیه معین خواهد شد ماده 33 ـ قرارداد حق الوکاله که به موجب نظامنامه وزارت عدلیه معین می&zwnj;شود باید به ترتیب تصاعدنسبت به مدعی و نسبت به مراحل محاکمه بدایت و استیناف و تمیز معین شود برای خسارتی که محکوم له می&zwnj;تواند از محکوم علیه مطالبه نماید، همچنین میزان مخارج مسافرتهایی&zwnj;که وکلا عدلیه برای امور وکالتی می&zwnj;نمایند نیز مطابق تعرفه&zwnj;ای است که وزارت عدلیه تنظیم می&zwnj;نماید ماده 34 ـ دریافت هر وجه یا مالی از موکل یا گرفتن سند رسمی یا غیررسمی از او علاوه بر میزان مقرره&zwnj;به عنوان حق الوکاله و علاوه بر مخارج لازمه به هر اسم و هر عنوان که باشد ولو به&zwnj;عنوان وجه التزام ونذر ممنوع است و مرتکب به مجازات انتظامی از درجه پنج به بالا محکوم می&zwnj;شود و چنین سند و التزام&zwnj;در محاکم و ادارات ثبت منشا ترتیب اثر نخواهد بود در صورتی که وکیل این عمل را به طور حیله انجام دهد مثل پول یا مال یا سندی در ظاهر به&zwnj;عنوان دیگرو در باطن راجع به عمل وکالت باشد و یا در ظاهر به اسم شخص دیگر و در باطن برای خود بگیردکلاهبرداری محسوب و مورد تعقیب جزایی واقع خواهد شد ماده 35 ـ مخارج لازمه مذکور در ماده قبل عبارت است از: مخارج عدلیه و خرج مسافرت و خرج&zwnj;تحقیقات و معاینه محلی و حق الزحمه مصدقین و خبره و حق الحکمیه و خرج تلگراف و پست و طبع&zwnj;اعلانات&zwnj; ماده 36 ـ در صورتی که وکیل بخواهد از وکالت استعفاء نماید باید قبلا طوری به موکل و محکمه&zwnj;اطلاع دهد که موکل بتواند وکیل دیگری در موقع برای خود معین و به محکمه معرفی کند ماده 37 ـ وکلا نباید بعد از استعفا از وکالت یا معزول شدن از طرف موکل یا انقضای وکالت به جهتی&zwnj;از جهات وکالت طرف مقابل یا اشخاص ثالث را در آن موضوع بر علیه موکل سابق خود یا قایم مقام&zwnj;قانونی او قبول نمایند و محاکم وکالت او را نباید در این مورد بپذیرند ماده 38 ـ وکلا نباید به طور مستقیم یا غیرمستقیم برای رد قاضی یا حکم یا وکیل مدافع طرف یا به&zwnj;منظور تطویل محاکمه به وسیله خدعه&zwnj;آمیزی متوسل شوند ماده 39 ـ وکیل حق ندارد دعاوی را به طور مصانعه یا در ظاهر به اسم دیگری و در باطن به اسم خودانتقال بگیرد و این قبیل دعاوی در محکمه پذیرفته نخواهد شد و متخلف به مجازات انتظامی از درجه&zwnj;چهار به بالا محکوم خواهد شد ماده 40 ـ وکلا نمی&zwnj;توانند نسبت به موضوعی که قبلا به واسطه سمت قضایی یا حکمیت در آن اظهارعقیده کتبی نموده&zwnj;اند قبول وکالت نمایند ماده 41 ـ در صورتی که خیانت وکیل نسبت به موکل ثابت شود از قبیل آنکه وکیل با طرف موکل&zwnj;ساخته و بالنتیجه حق موکل را تضییع نماید به محرومیت ابدی از شغل وکالت محکوم خواهد شد وموکل می&zwnj;تواند خسارت وارده بر خود را از او مطالبه نماید ماده 42 ـ وکلا باید در مذاکرات شفاهی در محکمه و لوایح کتبی احترام و نزاکت را نسبت به محاکم وتمام مقامات اداری و نسبت به وکلا و اصحاب دعوی مرعی دارند در صورت تخلف به مجازات&zwnj;انتظامی از درجه چهار به بالا محکوم خواهند شد مگر این که عمل مشمول یکی از عناوین جزایی باشدکه در این&zwnj;صورت به حداکثر مجازات مقرره در قانون محکوم خواهند شد ماده 43 ـ وکلا باید دارای دفتر منظم بوده و مراسلات و مکاتباتی که راجع به امر وکالت است ثبت وضبط نمایند ـ طرز تنظیم و نگاهداری آن را دفتر بازرسی و تشکیلات وکلا معین خواهد نمود و حفظ&zwnj;دفتر و ته چک قبوض تا ده سال پس از تاریخ ختم آن اجباری است&zwnj; ماده 44 ـ وکلا باید پس از ابلاغ حکم یا قرار و یا اخطاری که مستلزم انجام امر یا دادن خرجی از طرف&zwnj;موکل است به اسرع اوقات به موکل یا متصدی امور او کتبا اطلاع دهند به&zwnj;طوری که تفویت حقی از اونشود ماده 45 ـ وکلا باید اثر قانونی عدم پیشرفت دعوی موکل را در امری که نسبت به آن قبول وکالت&zwnj;می&zwnj;نماید اعم از امور حقوقی و جزایی مخصوصا در اقامه دعوی جزایی و دعاوی جعل و اعسار قبل ازتنظیم قرارداد حق الوکاله به موکل خاطر نشان نمایند فصل چهارم ـ در تعقیب و مجازات انتظامی وکلا ماده 55 ـ وکلای معلق و اشخاص ممنوع الوکاله و به طور کلی هر شخصی که دارای پروانه وکالت&zwnj;نباشد از هرگونه تظاهر و مداخله در عمل وکالت ممنوع است اعم از این که عناوین تدلیس از قبیل&zwnj;مشاور حقوق و غیره اختیار کند یا این که به وسیله شرکت و سایر عقود یا عضویت در موسسات خود را اصیل دعوی قلمداد نماید متخلف از یک الی شش ماه به حبس تادیبی محکوم خواهد شد فصل پنجم ـ مقررات مختلفه&zwnj; ماده 56 ـ در صورت فوت و حجر وکیل&zwnj;، مدعی العمومی بدایت و در نقاطی که پارکه نیست امین یامامور صلح به تقاضای اشخاص اسناد و اوراق راجعه به آنها را که نزد وکیل بوده با حضور متصدی امور متوفی و در صورت استنکاف ورثه و یا متصدی امور متوفی از تسلیم اوراق و اسناد مدعی العموم یاقایم مقام او با حضور نماینده محکمه بدایت یا صلح&zwnj;، اسناد را اخذ و به صاحبش رد می&zwnj;نماید و صورتمجلسی در هر دو باب تنظیم و امضا می&zwnj;نماید و رسید اوراق را گرفته به متصدی امور متوفی&zwnj;می&zwnj;دهد ماده 57 ـ هرگاه محاکم و مدعیان عمومی در اجرای مواد این قانون بی نظمی یا مسامحه مشاهده کرده&zwnj;یا متوجه شوند وکیلی از عهده انجام وظیفه وکالتی بر نمی&zwnj;آید و همچنین هرگاه از سو اخلاق و اعمال&zwnj; وکیلی مطلع گردند مکلفند بدون تاخیر، مراتب را به وزیر عدلیه گزارش دهند، در صورت تخلف به&zwnj;مجازات انتظامی تا درجه چهار محکوم خواهند شد ماده 58 ـ فصل دوم قانون اصول تشکیلات عدلیه مصوب 27 تیرماه 1307 و ماده 6 قانون 11 خرداد1308 و قانون مصوبه اول مرداد 1309 و قانون وکالت مصوبه 20 شهریور ماه 1314 نسخ می&zwnj;شود.http://www.ejoo .ir/ منبع

قانون وکالت

قانون تعيين وضعيت املاك واقع در طرح هاي دولتي و شهرداري ها ماده واحده - كليه وزارتخانه ها، موسسات ، سازمانها، نهادها، شركت هاي دولتي يا وابسته به دولت و شهرداريها و موسساتي كه شمول قانون بر آنها مستلزم ذكر نام باشد، مكلف مي باشند در طرح هاي عمومي يا عمراني كه ضرورت اجرا آنها توسط وزير يا بالاترين مقام دستگاه اجرايي با رعايت ضوابط مربوطه تصويب و اعلان شده باشد و در اراضي و املاك شرعي و قانوني اشخاص اعم از (حقيقي و حقوق ) قرار داشته و در داخل محدوده شهرها و شهركها و حريم استحفاظي آنها باشد، پس از اعلام رسمي وجود طرح ، حداكثر ظرف مدت هجده ماه نسبت به انجام معامله قطعي و انتقال اسناد رسمي و پرداخت بها يا عوض آن طبق قوانين مربوطه اقدام نمايند. تبصره 1 - در صورتي كه اجراي طرح و تملك املاك واقع در آن به موجب برنامه زمان بندي مصوب به حداقل 10 سال بعد موكول شده باشد، مالكين املاك واقع در طرح از كليه حقوق مالكانه مانند احداث يا تجديد بنا يا افزايش بنا و تعمير و فروش و اجاره و رهن و غيره برخوردارند و در صورتي كه كمتر از 10 سال باشد مالك هنگام اخذ پروانه تعهد مي نمايد هر گاه زمان اجراي طرح قبل از ده سال شروع شود حق مطالبه هزينه احداث و تجديد بنا را ندارد. تبصره 2 - شهرداريها موظفند همزمان با صدور پروانه ساختمان مالكان مشمول قسمت اخير تبصره 1 مشخصات دقيق عرصه و اعيان و تاسيسات موجود را معين و در پرونده درج و ضبط نمايند تا ملاك ارزيابي به هنگام اجراي طرح قرار گيرد و در زماني كه به لحاظ تامين اعتبار آمادگي اجراي طرح مزبور باشد به هنگام اجراي طرح مصوب ملاك پرداخت خسارت قيمت عرصه و اعيان ملك در زمان اجراي طرح خواهد بود. تبصره 3 - مالكين املاك و اراضي واقع در طرح هاي آتي كه قبل از تصويب طرح واجد شرايط جهت اخذ پروانه ساختمان بوده و قصد احداث يا تجديد يا افزايش بنا را دارند، جهت اخذ زمين عوض در اولويت قرار خواهند گرفت و در بين آن گونه مالكين اشخاصي كه ملك آنها در مسير احداث يا توسعه معابر و ميادين قرار دارند، نسبت به سايرين حق تقدم دارند. تبصره 4 - در مواردي كه تهيه زمين عوض در داخل محدوده هاي مجاز براي قطعه بندي و تفكيك و ساختمان سازي ميسر نباشد و احتياج به توسعه محدوده مزبور طبق طرح هاي مصوب توسعه شهري مورد تاييد مراجع قانوني قرار بگيرد، مراجع مزبور مي توانند در مقابل موافقت با تقاضاي صاحبان اراضي براي استفاده از مزاياي ورود به محدوده توسعه و عمران شهر، علاوه بر انجام تعهدات مربوط به عمران و آماده سازي زمين و واگذاري سطوح لازم براي تاسيسات و تجهيزات و خدمات عمومي ، حداكثر تا 20% از اراضي آنها را براي تامين عوض اراضي واقع در طرحهاي موضوع اين قانون و همچنين اراضي عوض طرح هاي نوسازي و بهسازي شهري ، به طور رايگان دريافت نمايند. قانون فوق مشتمل بر ماده واحده و چهار تبصره در جلسه علني روز يكشنبه بيست و نهم آبان ماه يك هزار و سيصد و شصت و هفت مجلس شوراي اسلامي تصويب و در تاريخ 2/9/1367 به تاييد شوراي نگهبان رسيده است . رئيس مجلس شوراي اسلامي - اكبر هاشمي http://www.ghavanin.ir/

فصل 1- تعاریف کلی و اصولی
ماده 1 كليه كارفرمايان، كارگران، كارگاهها، موسسات توليدي، صنعتي، خدماتي و كشاورزي مكلف به تبعيت از اين قانون مي‌باشند
ماده 2 كارگر از لحاظ اين قانون كسي است كه به هر عنوان در مقابل دريافت حق السعي اعم از مزد، حقوق، سهم سود و ساير مزايا به درخواست كارفرما كار مي‌كند
ماده 3 كارفرما شخصي است حقيقي يا حقوقي كه كارگر به درخواست و به حساب او در مقابل دريافت حق السعي كار مي‌كند. مديران و مسئولان و به طور عموم كليه كسانيكه عهده دار اداره كار كارگاه هستند نماينده كارفرما محسوب مي‌شوند و كارفرما مسئول كليه تعهداتي است كه نمايندگان مذكور در قبال كارگر به عهده مي‌گيرند. در صورتيكه نماينده كارفرما خارج از اختيارات خود تعهدي بنمايد و كارفرما آن را نپذيرد در مقابل كارفرما ضامن است

قانون کار


بانک ها و موسسات مالی و اعتباری نقش پررنگی در اقتصاد کشورها داشته و تقریبا همه اشخاص در جوامع امروزی با بانک ها و موسسات مالی و اعتباری سر و کار دارند. در حال حاضر کمتر کسی را می توان پیدا کرد که از هیچ بانک و موسسه ای تسهیلات نگرفته باشد و به همین جهت است که تنظیم قوانین و مقررات حاکم بر روابط اشخاص و بانک ها و انتظام این امور برای قانون گذار اهمیت غیر قابل انکاری دارد. از طرف دیگر پویایی اقتصاد باعث می شود تا قوانین حوزه بانکی به سرعت تغییر کنند، اصلاح شوند و یا به جهت عدم تناسب با نیازهای جدید متروک باقی بمانند. همچنین برخی مراجع مثل بانک مرکزی یا شورای پول و اعتبار برای سازماندهی امور بانکی ایجاد شدند که با صدور بخشنامه یا تصویب دستورالعمل هایی، این امور را دستخوش تغییر و تحول می کنند. نتیجه آنکه با توجه به پیچیدگی موضوع و کثرت قوانین، مقررات، آیین نامه ها، بخشنامه ها و مصوبات، رجوع به اشخاصی که در این زمینه از اطلاعات کافی بهره مند باشند، اجتناب ناپذیر است. وکیل بانکی متخصص از آخرین تغییر و تحولات مربوط به امور بانکی مطلع است و می تواند با استفاده از این آگاهی به بانک ها، موسسات مالی و اعتباری و هم چنین متقاضیان تسهیلات بانکی و مشتریان بانک ها کمک کند.
